Ambassador Terms

These Terms govern participation in the Alveos Ambassador Program (the “Program”), operated by Alveos Oy (VAT FI35253067), Kaitatie 13 C, 02360 Espoo, Finland (“Alveos”, “we”, “us”). By applying to or taking part in the Program, you (“Ambassador”, “you”) agree to these Terms. If you do not agree, do not join the Program.

The Program is run using Promote Kit, a third-party affiliate tracking platform. Your use of Promote Kit is also subject to Promote Kit’s own terms and privacy policy.

1. Overview

The Program lets approved Ambassadors earn a commission by referring new customers to pre-order Alveos One through a unique referral link. When someone you refer completes a qualifying pre-order, you earn a commission as set out in Section 4.

2. Eligibility

To take part, you must:

• Be at least 18 years old (or the age of majority where you live).

• Hold a valid account with our tracking platform, Promote Kit.

• Provide accurate registration and payout details.

• Comply with all applicable laws, including consumer protection, advertising, and data protection rules.

We may approve or decline any application at our discretion, and may suspend or remove any Ambassador who breaches these Terms.

3. Referral Links and Tracking

On approval, you receive a unique referral link through Promote Kit. You must use this link, unaltered, to refer customers.

Referrals are tracked on a last-click basis using cookies with a 30-day attribution window. If a customer clicks your link and completes a qualifying pre-order within 30 days, the sale is attributed to you, provided no later Ambassador link is clicked before purchase.

We cannot guarantee tracking where a customer disables cookies, uses ad or cookie blockers, switches devices or browsers, or clicks a more recent Ambassador link. Commission is only payable on sales correctly recorded by Promote Kit.

4. Commission

Rate. You earn 20% of the net pre-order price of the Alveos One device on each qualifying pre-order attributed to you.

Net price means the device pre-order amount actually paid by the customer, excluding VAT and other taxes, shipping and handling, discounts and credits applied at checkout, and any subscription fees.

Device revenue only. Commission applies to the device pre-order revenue only. The Alveos One subscription (€9.99/month) and any other recurring or add-on charges are not commissionable.

Qualifying pre-order. A pre-order qualifies only if it is paid in full, attributed to your link, not cancelled or refunded, and not made by you for your own purchase (see Section 5).

5. What Is Not Allowed

You must not:

• Self-refer — use your own link for your own purchases, or arrange purchases mainly to generate commission.

• Bid on brand terms — run paid search or paid social ads on “Alveos”, “Alveos One”, or close variants, or mask your referral link behind such ads.

• Spam — share your link through unsolicited email, SMS, comment spam, or any deceptive messaging.

• Misrepresent — pose as Alveos, imply employment or partnership beyond your Ambassador role, or suggest official endorsement of your other products or views.

• Use cookie stuffing, forced clicks, iframe tricks, malware, or any method to generate clicks or attribution the customer did not knowingly initiate.

• Offer unauthorised incentives, cashback, or rebates funded from your commission unless we approve this in writing.

• Register domains, handles, or app names containing “Alveos” or confusingly similar terms.

6. Health and Marketing Claims

Alveos One is a wellness device. It is not a medical device and is not intended to diagnose, treat, cure, or prevent any disease or medical condition.

When promoting the Program you must not make or imply any medical, diagnostic, or treatment claims (for example, that the device diagnoses, treats, or cures sleep apnea, anxiety, asthma, or any condition). Describe the product only in wellness terms consistent with our official marketing materials. You are responsible for the accuracy of any claim you make, and we may require you to correct or remove non-compliant content immediately.

7. Disclosure and Compliance

You must clearly and conspicuously disclose your financial relationship with Alveos wherever you share a referral link, in line with applicable advertising rules (for example FTC Endorsement Guides in the US and equivalent EU and Finnish law). Plain disclosures such as “#ad”, “affiliate link”, or “I earn a commission” are acceptable where placed prominently. You are solely responsible for compliance on your own channels.

8. Payment

Confirmation and hold period. Because these are pre-orders, commissions are first recorded as pending. A commission becomes confirmed only after the customer’s refund or cancellation window has passed and the pre-order is non-refundable (or the device has shipped). Pending commissions for cancelled or refunded orders are reversed and not paid.

Payout schedule. Confirmed commissions are paid out monthly through Promote Kit, subject to the minimum threshold below.

Minimum threshold. Payouts are made once your confirmed balance reaches €50. Balances below the threshold roll over to the next period.

Method. Payouts are made via the method supported by Promote Kit (for example PayPal or bank transfer) using the details you provide.

Taxes. You are solely responsible for any taxes due on your commissions and for any required tax registration or reporting. Where required, we may request tax information before paying and may withhold amounts we are legally required to withhold. Commissions are stated exclusive of VAT.

9. Chargebacks, Refunds, and Adjustments

If a referred order is later refunded, cancelled, charged back, or found to breach these Terms, the related commission is reversed. We may deduct reversed amounts from your current or future balance, and may recover amounts already paid in error or as a result of fraud.

10. Intellectual Property and Brand Use

We grant you a limited, non-exclusive, non-transferable, revocable licence to use our approved name, logos, and marketing assets solely to promote qualifying pre-orders under the Program, in line with any brand guidelines we provide.

This licence ends automatically when your participation ends. You must then stop using all Alveos brand assets and remove active referral links on request. You gain no ownership rights in our trademarks, content, or other intellectual property.

11. Data Protection

Each party will comply with the EU General Data Protection Regulation (GDPR) and applicable data protection law.

You must not collect, store, or process personal data of referred customers beyond what Promote Kit handles for tracking, and you must not contact referred customers using personal data obtained through the Program. We process your Ambassador account and payout data to operate the Program and meet legal obligations, as described in our Privacy Policy.

12. Term and Termination

These Terms apply for as long as you take part in the Program. Either party may end participation at any time, for any reason, on notice (including by email or through Promote Kit).

We may suspend or terminate your participation immediately, and withhold or reverse unpaid commissions, if we reasonably believe you have breached these Terms, engaged in fraud, or caused reputational or legal risk to Alveos. Confirmed commissions properly earned before termination remain payable, except where terminated for fraud or breach.

13. No Employment or Agency

You take part as an independent contractor. Nothing in these Terms creates an employment, partnership, joint venture, or agency relationship. You have no authority to bind Alveos or make commitments on our behalf.

14. Changes to the Program

We may modify, suspend, or discontinue the Program, or change these Terms (including commission rates, the attribution window, and eligibility) at any time. Material changes will be communicated by email or through Promote Kit and apply to sales generated after the change takes effect. Continued participation after a change means you accept the updated Terms.

15. Disclaimers and Limitation of Liability

The Program and tracking tools are provided “as is” and “as available”. We do not warrant uninterrupted or error-free tracking.

To the maximum extent permitted by law, Alveos is not liable for indirect, incidental, special, or consequential losses, or for lost profits or anticipated commissions. Our total liability connected to the Program will not exceed the total commissions paid or payable to you in the three months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.

16. Governing Law and Disputes

These Terms are governed by the laws of Finland, without regard to conflict-of-law rules. The courts of Finland have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, subject to any mandatory consumer-protection rights you may have in your country of residence.
